Terms of Service

These Terms of Service (the "Terms") govern your use of ProposalKit (the "Service"), provided by Oldfire OÜ ("we", "us"). By creating an account or otherwise using the Service you agree to these Terms. If you don't agree, please don't use the Service.

These Terms should be read alongside our Privacy Policy, which explains how we handle personal data.

What the Service is

ProposalKit is a web-based tool for creating, sending, and tracking sales proposals. You build a proposal in the editor, share it with your client through a public link, and we record when they open and accept it. We provide the platform; the content of your proposals is yours.

Eligibility and accounts

You must be at least 18 years old and legally able to enter a contract to use the Service. When you create an account you agree to provide accurate information and to keep your credentials secure. You are responsible for everything that happens under your account.

You can close your account at any time from your account settings or by contacting us.

Free trial

New accounts get a 14-day free trial of ProposalKit with no credit card required. During the trial you have access to the same features as a paying subscription.

When the trial ends, your account downgrades automatically. You will no longer be able to create or edit new proposals without subscribing, but proposals you already published will remain live and accessible to their recipients. Existing acceptance records, share links, and client views continue to work — we won't break your outstanding quotes because a trial expired.

Subscription and payments

Paid subscriptions to ProposalKit are processed by Paddle, which acts as the merchant of record for all purchases. When you subscribe you are entering into a purchase agreement with Paddle as seller of record; Paddle handles billing, payment methods, tax collection, invoices, and refunds according to its own terms (paddle.com/legal/checkout-buyer-terms).

Subscriptions renew automatically at the interval you selected until you cancel. You can cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period and you keep access until then. You may request a refund within 14 days of your initial subscription purchase or within 14 days of a renewal charge, as described in our Refund Policy. Outside that 14-day window, charges are non-refundable except where mandatory law requires otherwise.

Your content

Everything you upload or create inside ProposalKit — text, pricing, images, cover details, attachments — is yours. You retain all rights to it.

You grant us a worldwide, royalty-free licence to host, store, display, transmit, and process your content strictly to the extent needed to run the Service on your behalf (for example: rendering the proposal to a recipient who opens the share link, storing images in object storage, and serving them over our CDN). This licence ends when you delete the content or close your account, except that we may retain backup copies for a limited period and acceptance-record snapshots as described in the Privacy Policy.

You are responsible for your content. You represent that you have the right to upload, display, and share everything you put into ProposalKit, and that doing so does not infringe anyone's rights or break any law.

Acceptable use

When you use ProposalKit you agree not to:

  • send unsolicited bulk messages, spam proposals, or use the share-link infrastructure to distribute content unrelated to a genuine sales quote;
  • upload or share content that is illegal, fraudulent, hateful, defamatory, obscene, or infringes anyone's intellectual property or privacy;
  • attempt to circumvent our rate limits, authentication, or other protections, or probe the Service for vulnerabilities without our written permission;
  • scrape, crawl, or mass-download content from share pages belonging to other users;
  • use the Service to build a competing product, or resell access to it, without a written agreement;
  • impersonate another person or business, or misrepresent who a proposal is from;
  • interfere with the Service, overload our infrastructure, or attempt to gain unauthorised access to any account or data other than your own.

We may suspend or terminate accounts that break these rules, remove offending content, and — where required — report illegal activity to the authorities.

Share links and electronic acceptance

When you publish a proposal, ProposalKit generates a public share link that anyone with the URL can view. If the recipient clicks "Accept" on the share page, we record the acceptance together with a timestamp, the recipient's IP and user-agent, and a frozen snapshot of the proposal content. This record is intended to serve as contemporaneous evidence that the proposal was accepted in the form shown.

ProposalKit is a tool that facilitates this electronic acceptance; the contract formed by an accepted proposal is between you and your recipient, not between the recipient and us.

Our intellectual property

The Service itself — the software, design, name, logo, and all related materials — is owned by Oldfire OÜ and its licensors, and is protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right to use our trademarks or brand without prior written permission.

Third-party services

The Service relies on third parties — including Paddle (billing), WorkOS (authentication), Postmark (email), Cloudflare (CDN, compute, object storage), and Railway (hosted database) — to work. Your use of features that involve those third parties may also be subject to their own terms. We are not responsible for the content or practices of third-party services linked from within proposals or from our marketing site.

Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms, if we are legally required to do so, or if we believe your use of the Service poses a risk to us or to other users.

You can close your account at any time. When an account is closed, your proposals and personal data are deleted according to the retention schedule described in the Privacy Policy. If you have paid for an active subscription when you close your account, you keep access until the end of the current billing period.

Service provided "as is"

ProposalKit is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, meet your specific requirements, or that defects will be corrected. You use the Service at your own risk.

Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Oldfire OÜ, its directors, employees, partners, agents, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including:

  • loss of profits or revenue;
  • loss or corruption of data;
  • business interruption;
  • loss of goodwill or reputation;
  • loss of privacy;
  • damages arising from your inability to access or use the Service.

Our total aggregate liability for any claim relating to the Service shall not exceed the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, or EUR 100, whichever is greater. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so some of these limits may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Oldfire OÜ and its personnel from any claim brought by a third party arising from your content, your breach of these Terms, or your misuse of the Service.

Governing law and disputes

These Terms are governed by the laws of the Republic of Estonia, excluding its conflict-of-law rules. If you and we have a dispute, we both agree to try to resolve it informally first by emailing us at terms@proposalkit.io. Any dispute that cannot be resolved informally shall be submitted to the competent courts of Estonia, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

Consumers in the European Union

If you are a consumer resident in the European Union, you benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms limits those rights.

Severability and waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be changed and interpreted to accomplish its objective to the greatest extent possible under applicable law, and the remaining provisions will continue in full force. Our failure to enforce any right under these Terms is not a waiver of that right.

Changes to these Terms

We may update these Terms from time to time. If the change is material, we'll provide at least 30 days' notice by email or via a notice inside the Service before the new Terms take effect. Minor changes are effective when posted — we update the "Last Updated" date at the top of this page. Continuing to use the Service after a change means you accept the updated Terms.
